Our client is a community Financial Services company which operates the franchise for a community bank branch. They exist to operate a profitable community service enterprise that invests in the growth of their community. They do this by engaging with their community, customers and shareholders seeking to better understand their needs.

About the Role

Our client is looking for a Board Secretary on a part time flexible hours basis - with working from home a requirement apart from attendance at board and committee meetings as required.

We are looking for someone who can offer around seventeen (17) hours per week, and these can be performed within a flexible time period.

Key Accountabilities and Responsibilities

  • Provide Board and Chair administration support including the preparation of agendas, company correspondence and documentation for new and departing directors
  • Organise shareholder meetings, accurate taking of minutes and other duties
  • Management of hard-copy and digital records
  • Maintenance of registers pertaining to shareholder information, public documents and other required registers under the Corporations Act 2001
  • Execution of financial administrative duties as required in a timely manner
  • Archiving of historical documentation in compliance with record retention legislation and policies
  • Overseeing marketing activities including media releases, social media posts and general communications

Required Skills and Experience

  • Previous experience in a Company Secretary role or qualifications in Governance
  • A thorough understanding of Australian Company Law including the Corporations Act 2001
  • Proven ability to interpret legislation associated with the Company Secretary function
  • A high level of computer literacy in Microsoft Office, online collaboration programs and electronic document management systems (Sharepoint)
  • Ability to manage time, plan and set priorities
  • Ability to display initiative and work independently with minimal supervision
  • Well-developed oral and written communication skills
  • Membership of the Australian Institute of Company Directors is desirable
