The Opportunity at AIA
The Company Secretary is responsible for the efficient administration of each of the Australian life insurance subsidiaries of the AIA Group, helping to create the best possible decision-making environment for the Board and management, ensuring compliance with statutory and regulatory requirements and that decisions of the Board of Directors and Board Committees are implemented.

Reporting to the Head of Legal & Company Secretary, the Company Secretary will primarily be responsible for supporting the efficient administration and management of the Board of Directors, Board Committees and Shareholder forums. This role is a 12 month contract opportunity located in Melbourne.

Some of the key responsibilities:

  • Convening Board & Board Committees of each Australian subsidiary.
  • General oversight and input into management risk committees.
  • Organising and preparing directors, executive and other senior management for Board and Committee meetings. This includes acting as key liaison with all business areas in gathering (in some cases drafting), compiling, arranging sign-off for and distributing papers to all directors, members and attendees (as applicable) prior to meetings, and monitoring and reporting on action items arising from those meetings.
  • Responsibility for the smooth conduct of all Board, and Board Committee meetings. This includes all advance preparation of meeting requirements, attending meetings and keeping minutes; drafting, obtaining sign-off and distributing the minutes of those meetings.
  • Maintaining all legally required company secretarial books and regulatory filings, including minute books, share register, register of directors and officers and register of responsible persons.
  • Implementing and keeping updated Board and Committee Charters, policies and procedures, which are required by law or under good governance practices.
  • Drawing up and maintaining Corporate Calendar of meetings, filing dates and other corporate governance key dates. Keeping the Corporate Calendar up-to-date and distributing to directors, the General Counsel & Company Secretary and other stakeholders. This includes setting the dates for all Boards and Board Committees, (including coordination with management risk committees) of the Australian subsidiaries.
  • Building alignment of Board, Board Committee and Management Committee composition, charters, corporate calendars, structure and function across all Australian subsidiaries and with the New Zealand subsidiaries (working with the AIA New Zealand corporate secretarial team).
  • Liaison with Group Office on all board and corporate governance matters.
  • Maintaining all external corporate secretarial and governance registers and filings with APRA, ASIC and other regulators, including corporate information register of directors and officers and register of responsible persons, and working with the Enterprise Risk & Compliance team to maintain all AFSL and other registers.
  • Ensuring compliance with all APRA and ASIC corporate secretarial and governance requirements, including fit & proper requirements of directors officers and responsible persons.
We are interested in hearing form those with:
  • Qualified company secretary, with relevant qualification
  • Proven experience in a Company Secretarial, Legal, or Executive Assistant function for a minimum of 5 years in a corporate environment, with experience in dealing with Directors and Executives in an organisation of similar scale
  • Experience working in financial services/insurance sector with a functional reporting structure
  • Strong stakeholder management skills, with an ability to work with a diverse range of personnel operating at a senior level across multiple locations.
  • Ability to negotiate acceptable outcomes.
  • Ability to develop relationships with senior management.
  • Sound judgment and decision-making ability
  • Ability to deal with Directors, executives and other senior management on complex issues.
  • A high level of commercial awareness.
  • Exceptional attention to detail.
  • Good understanding of corporate governance requirements.
  • Excellent verbal and written communication skills
